Terms of Sale and Licence

What you get when you buy Sample Miner, what you may do with it, and what we do and do not promise.

Sample Miner is made and sold by NOVATE.AI LLC, a Virginia limited liability company (“Novate,” “we,” “us”). These terms are the agreement between you and Novate for the purchase and use of the Sample Miner application (the “Software”). By downloading, installing, or buying a licence for the Software, you agree to them. If you do not agree, do not install or buy it.

1. What Sample Miner is

Sample Miner is a premade desktop application for macOS. It reads audio files that are already on your computer and builds playable sampler instruments and kits from them, which it exports to formats used by software and hardware samplers.

It is a finished product sold as-is off the shelf. We do not sell consulting, custom development, bespoke instrument building, session work, or any other personal service, and nothing on this site is an offer of one.

2. The free trial

Sample Miner is offered with a free 30-day trial. The trial is the full application, not a crippled version, and it does not require a payment method. The trial exists so that you can find out whether the Software works for you and on your machine before any money changes hands. We expect you to use it. Please do, because the refund policy below is written on the assumption that you had the chance.

When the 30 days end the Software does not stop working. Browsing, auditioning and building kits stay free permanently, with no licence and no time limit. What the licence unlocks is exporting. After the trial you get three more exports, and past that exporting requires a licence. Files you already created remain yours and remain on your disk.

3. What you are buying

The Software is licensed, not sold. When you buy, you get a perpetual, worldwide, non-exclusive, non-transferable, non-sublicensable licence to install and use the version of the Software you purchased, on Macs that you own or control, for your own personal or internal business use, including commercial music production.

A purchase is a one-time payment. There is no subscription, no recurring charge and no auto-renewal. Your licence does not expire because you stopped paying, because there is nothing further to pay.

We claim no ownership of and no royalty on anything you create with Sample Miner. The instruments, kits, mappings, presets and exported files it produces are yours. You may use them commercially, release them, sell them and license them, with no credit to us and no payment to us, forever.

That said, the Software does not give you rights to audio you do not already have rights to. You are responsible for making sure you are allowed to use the samples you point it at, including anything covered by a sample-pack licence, a record label agreement, or someone else's copyright. If a sample was not yours to use before Sample Miner touched it, it is still not yours to use afterwards.

6. Your files stay on your machine

Sample Miner runs entirely on your computer. It has no account, no cloud sync and no telemetry. We never receive your audio, your filenames, or any record of what you build. See the Privacy Policy.

Because the Software writes files to your disk, and because no software is perfect, keep backups of anything you care about. You are responsible for your own backups. Section 11 limits what we owe you if something goes wrong.

7. Delivery, price and tax

Sample Miner is delivered digitally and immediately. After payment clears you receive a download link and a licence key at the email address you gave at checkout. There is no physical product and nothing ships.

Prices are shown at checkout in the stated currency and may change at any time for future purchases. Payment is handled by our payment provider, Lemon Squeezy, which acts as merchant of record, collects and remits applicable sales tax and VAT, and appears on your statement. Their handling of your payment details is governed by their own terms and privacy policy. We never see or store your card number.

If you are buying as a business and need a VAT ID or a company name on the invoice, enter it at checkout. We cannot reissue an invoice with different tax details after the sale.

8. Updates, system requirements and the roadmap

Bug fixes, maintenance releases and feature updates within the major version you bought are included at no extra cost. A future major version may be a paid upgrade. We will say so plainly if it is.

System requirements are published on this site before purchase. It is your responsibility to check them, and the free trial lets you confirm the Software runs on your actual machine. We support current macOS versions and reasonably recent hardware, and we may end support for old macOS versions, old hardware or discontinued export formats in future releases.

You are buying the Software as it exists on the day you buy it. Anything we have described as planned, in progress, coming, or on the roadmap is a statement of intent and not a promise. Do not buy in reliance on a feature that does not ship yet.

9. Refunds

Refunds are governed by our Refund Policy, which forms part of these terms.

10. Ending the licence

You may stop using the Software at any time. We may terminate your licence and deactivate your key if you materially breach these terms, in particular by sharing or reselling your key, cracking the licence check, or reversing a payment after receiving the Software. Termination for breach does not entitle you to a refund. On termination you must stop using the Software and remove it from your machines. Files you already exported remain yours.

11. Warranty and liability

The Software is provided “as is” and “as available,” without warranty of any kind. To the maximum extent permitted by law, Novate disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Software will be uninterrupted, error-free, or compatible with any particular sampler, plugin, host, or version of macOS.

To the maximum extent permitted by law, Novate will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, corrupted or deleted audio files, lost projects, studio downtime, or loss of goodwill, arising out of or relating to the Software, whether in contract, tort, or any other theory, and whether or not we were told such damage was possible.

In no event will Novate's total liability arising out of or relating to these terms or the Software exceed the amount you actually paid us for the Software in the twelve months before the event giving rise to the claim.

Some jurisdictions do not allow these exclusions, so parts of this section may not apply to you. Where that is the case, our liability is limited to the greatest extent the law allows. Nothing here limits liability for fraud, or for anything else that cannot lawfully be limited.

12. Governing law and disputes

These terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to its conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts in Fairfax County, Virginia have exclusive jurisdiction, and you consent to their personal jurisdiction. If you are a consumer, this does not deprive you of the protection of mandatory consumer law in your country of residence.

Before starting any formal proceeding, please write to sampleminer@novate.ai describing the problem and give us 30 days to try to fix it. Most things get resolved in one email.

13. General

The Software is also covered by the Novate Terms of Use and the Privacy Policy, which are incorporated here by reference. Where those company-wide terms conflict with this page on the subject of buying or licensing Sample Miner, this page controls.

These terms are the entire agreement between us on this subject. If any provision is held unenforceable it is limited to the minimum extent necessary and the rest stands. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a sale of the business. We may update these terms for future purchases by changing this page and the date at the top. The terms in force when you bought continue to govern that purchase.

The Software may be subject to US export-control and sanctions law. You confirm you are not located in an embargoed country and are not on a US restricted-party list.
